Tab Pact Terms of Service
Effective Date: September 10, 2026 Last Updated: September 22, 2026
These Terms of Service (“Terms”) govern your access to and use of Tab Pact, including the website located at https://tabpact.com, organizer accounts, event pages, participant invitation pages, and all other features, applications, functionality, and services that link to these Terms (collectively, the “Service”).
Tab Pact is operated by Parker Phillips (“Tab Pact,” “we,” “us,” or “our”).
Please read these Terms carefully. They constitute a legally binding agreement between you and Tab Pact.
By creating an account, accessing or accepting an invitation, joining an event, responding to an RSVP, using payment-coordination features, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you may not use the Service.
1. The Tab Pact Service
Tab Pact is a group event and expense-coordination platform.
The Service may allow users to:
- create and organize events;
- invite participants;
- manage attendance and RSVP responses;
- create and allocate shared expenses;
- calculate amounts assigned to participants;
- provide payment handles, links, or payment instructions;
- direct participants to external payment services;
- report that an external payment has been made;
- confirm that an external payment has been received;
- track payment and expense statuses;
- copy or send reminders; and
- otherwise coordinate shared costs associated with events and groups.
Tab Pact is intended to make it easier for groups to coordinate financial obligations. It does not replace the judgment of the Organizer or Participants and does not independently determine whether any person legally owes money to another person.
2. Tab Pact Does Not Process or Hold User Funds
Tab Pact does not transfer, receive, store, hold, custody, escrow, settle, or process money exchanged between Organizers and Participants.
Payments coordinated through Tab Pact occur outside the Service using payment methods selected by users. These may include third-party services such as Venmo, PayPal, Cash App, bank-transfer services, cash, or other external methods.
Tab Pact is not:
- a bank;
- a credit union;
- a payment processor;
- a money transmitter;
- an escrow service;
- a payment institution;
- a lender;
- a creditor;
- a debt collector;
- a financial adviser;
- a broker; or
- another financial institution.
Tab Pact does not receive or maintain Participants' bank-account credentials, payment-card numbers, payment-service passwords, or funds being transferred between users.
A payment status displayed in Tab Pact is an informational record based on actions taken by users. It is not a bank record, financial statement, payment-provider confirmation, settlement record, receipt issued by Tab Pact, or independent verification that funds have been transferred.
3. Definitions
For purposes of these Terms:
“Organizer” means a person who creates, owns, or manages an Event through a Tab Pact account.
“Participant” means a person invited to or participating in an Event, whether or not that person has a Tab Pact account.
“Event” means a trip, gathering, purchase, rental, gift, activity, concert, sporting event, or other group arrangement created or managed using Tab Pact.
“Expense” means an amount entered into the Service for allocation, request, or tracking among Participants.
“Payment Method” means an external method by which a user instructs another user to make payment, such as a Venmo username, PayPal information, Cash App identifier, payment link, or custom instructions.
“User” or “you” means any Organizer, Participant, invite recipient, account holder, visitor, or other person accessing the Service.
“User Content” means information, text, event details, participant information, expense information, payment instructions, payment handles, links, notes, and other material submitted through the Service.
4. Eligibility
Organizer accounts are intended only for individuals who are at least 18 years old and legally capable of entering into a binding contract.
You may not create an Organizer account if you are under 18.
The Service is not directed to children under 13.
No person under 13 may use the Service, and users may not knowingly submit personal information about a child under 13 to Tab Pact.
If you are between 13 and 17 years old, you may use participant-facing portions of the Service only with the permission and supervision of a parent or legal guardian and only where permitted by applicable law.
If we learn that we have collected personal information directly from a child under 13 without appropriate authorization, we may delete that information and disable associated access.
If you use the Service on behalf of a company, organization, association, or other legal entity, you represent that you have authority to bind that entity to these Terms.
5. Geographic Availability
Tab Pact is currently designed primarily for users in the United States.
We do not represent that the Service is appropriate, lawful, or available in every jurisdiction.
If you access the Service from outside the United States, you are responsible for determining whether your use complies with applicable local law.
6. Organizer Accounts
Certain functionality requires an Organizer account.
You agree to provide accurate and current information when creating and maintaining your account.
You are responsible for maintaining the confidentiality and security of your:
- password;
- email account;
- authenticated session;
- devices; and
- other credentials used to access Tab Pact.
You may not:
- create an account in another person's name without authorization;
- impersonate another individual or organization;
- provide materially false account information;
- share credentials for the purpose of bypassing access restrictions;
- access another person's account without permission; or
- sell, rent, sublicense, or transfer your account.
You agree to notify us promptly at support@tabpact.com if you reasonably believe that your account has been compromised.
We may require you to verify ownership or control of your account before providing account assistance.
7. Invitation Links Are Credentials
Tab Pact may generate:
- personalized Participant invitation links; and
- reusable Event or group invitation links.
Some invitation links function as bearer credentials. A person who possesses a valid link may be able to access the information and functionality associated with that invitation without creating an account.
You are responsible for treating private invitation links as confidential.
You should not:
- publish private invitation links publicly;
- post them on publicly indexed websites;
- intentionally distribute a personal invitation to unintended recipients;
- place private links in public social-media posts; or
- otherwise expose invitation credentials unnecessarily.
Organizers may be able to revoke, disable, replace, or rotate invitation links through the Service.
If an Organizer believes that a private invitation has been exposed, the Organizer should revoke or replace the invitation where that functionality is available.
Tab Pact cannot control what recipients do with invitation links after they have been shared.
8. Organizer Responsibilities
The Organizer controls significant aspects of an Event and is responsible for the information and instructions supplied through that Event.
An Organizer is responsible for:
- accurately describing the Event;
- inviting appropriate Participants;
- obtaining any permission reasonably necessary to provide Participant information to Tab Pact;
- entering accurate Expense amounts;
- assigning Expenses to appropriate Participants;
- determining the agreed allocation of costs;
- setting accurate due dates where used;
- providing correct Payment Methods and payment instructions;
- reviewing amounts before requesting payment;
- confirming payments responsibly;
- correcting errors discovered in Event information; and
- resolving disagreements with Participants.
An Organizer may not use Tab Pact to fabricate a debt, falsely represent that another person owes money, or attempt to collect money through fraud, coercion, harassment, or deception.
9. Information About Other People
The Service allows Organizers to enter certain information about Participants, such as names and email addresses. Older Participant records may retain a telephone number that was provided before Tab Pact stopped collecting participant phone numbers.
If you submit information about another person, you represent that:
- you have a legitimate reason to provide that information in connection with the Event;
- you are authorized to share it or otherwise have an appropriate lawful basis for doing so; and
- you will not use Tab Pact to collect or store information that is unnecessary for the Event.
Do not submit unnecessary sensitive information about another person.
In particular, Tab Pact is not designed to store:
- Social Security numbers;
- government identification numbers;
- bank-account numbers;
- credit- or debit-card numbers;
- account passwords;
- authentication codes;
- medical records;
- health diagnoses;
- biometric identifiers;
- precise device geolocation;
- criminal-history information; or
- other highly sensitive information unrelated to group expense coordination.
We may remove such information if we become aware that it has been submitted.
10. Participant Responsibilities
Participants are responsible for reviewing payment requests and Event information before acting on them.
Before sending money, Participants should independently verify:
- the identity of the Organizer;
- the legitimacy of the Event;
- the Expense being requested;
- the amount requested;
- the intended recipient;
- the payment handle, username, link, or instructions;
- the third-party payment service being used; and
- any other material payment information.
Do not send money solely because a request appears in Tab Pact if you do not recognize or trust the Organizer or Event.
Tab Pact is not responsible for a payment sent to an incorrect recipient because a user entered, copied, selected, or followed incorrect payment information.
11. Expenses and Calculations
Tab Pact may calculate, display, or allocate Expense amounts using information supplied by users.
Although the Service is designed to perform these calculations accurately, users remain responsible for reviewing all amounts.
The Organizer and Participants are responsible for confirming, as applicable, that:
- the total Expense is correct;
- the selected Participants are correct;
- custom allocation amounts are correct;
- equal splits reflect the group's agreement;
- taxes, tips, fees, refunds, credits, discounts, or other adjustments are handled appropriately; and
- amounts displayed in Tab Pact correspond to the group's actual arrangement.
A calculation made by Tab Pact does not independently establish a legal obligation to pay.
12. Payment Statuses
Tab Pact may use payment states including:
Not requested: an Expense exists, but payment has not yet been requested from the Participant.
Due: payment has been requested and remains outstanding according to the information stored in Tab Pact.
Marked paid: the Participant represents that the relevant amount was paid externally, but the Organizer has not confirmed receipt.
Confirmed paid: the Organizer represents that they have verified or accepted that the external payment was received.
These statuses are coordination records only.
Tab Pact does not independently verify:
- whether a transaction occurred;
- whether funds cleared;
- whether funds remain subject to reversal or chargeback;
- whether the correct recipient received the money;
- whether the payment amount was correct;
- whether an Organizer's confirmation is truthful; or
- whether a Participant's report is truthful.
13. Third-Party Payment Services
Users may choose to complete payments through services operated by third parties.
Those services are separate from and independent of Tab Pact.
Your use of a third-party payment service is governed by the third party's own terms, privacy policy, eligibility requirements, fraud protections, transaction limits, fees, restrictions, and dispute procedures.
Tab Pact does not control those services and is not responsible for:
- their availability;
- rejected payments;
- delayed transfers;
- fees;
- freezes or account restrictions;
- fraud decisions;
- chargebacks;
- reversals;
- unauthorized transactions;
- lost access to an external account; or
- any other action or omission by an external provider.
A link to or compatibility with a third-party service does not constitute an endorsement or guarantee by Tab Pact.
14. User-to-User Disputes
Tab Pact is not a party to agreements between Organizers and Participants regarding Events, Expenses, purchases, reimbursements, or payments.
Tab Pact is not responsible for deciding:
- whether a Participant agreed to attend;
- whether a Participant agreed to an Expense;
- whether someone owes money;
- how an Expense should be divided;
- whether an Expense was authorized;
- whether a payment was sent;
- whether a payment was received;
- whether an Organizer should issue a refund;
- whether goods or services associated with an Event were satisfactory; or
- who is responsible for a canceled or changed Event.
Users are responsible for resolving such disputes directly.
Tab Pact may provide technical records maintained by the Service where appropriate, but those records are not necessarily independent proof of the underlying transaction.
15. No Collection or Enforcement Services
Tab Pact is not a debt collector.
Features that allow an Organizer to request payment, display an outstanding balance, or copy or send a reminder are organizational features.
Tab Pact does not:
- purchase debts;
- collect debts on behalf of Organizers;
- guarantee repayment;
- enforce payment obligations;
- report payment activity to credit bureaus; or
- determine whether an alleged obligation is legally enforceable.
You may not use Tab Pact to threaten, intimidate, harass, or unlawfully pressure another person to pay money.
16. Acceptable Use
You may use the Service only for lawful purposes and in accordance with these Terms.
You may not use Tab Pact to:
- commit, attempt, or facilitate fraud;
- obtain money through deception;
- impersonate another person;
- create false payment obligations;
- launder money or conceal unlawful proceeds;
- facilitate illegal transactions;
- facilitate unlawful gambling;
- facilitate the sale of unlawful goods or services;
- threaten, stalk, exploit, or harass another person;
- discriminate unlawfully;
- distribute malware;
- conduct phishing;
- steal credentials;
- interfere with the Service;
- intentionally overload infrastructure;
- bypass security measures;
- circumvent rate limits;
- probe, scan, or test the Service for vulnerabilities without authorization;
- exploit a vulnerability rather than responsibly reporting it;
- gain unauthorized access to accounts, invitations, Events, or data;
- scrape or systematically extract data in a manner that harms the Service or users;
- reverse engineer protected portions of the Service except where applicable law expressly gives you that right;
- send spam;
- violate intellectual-property rights;
- violate privacy or publicity rights;
- submit information you do not have the right to provide;
- create an Event for an unlawful purpose; or
- encourage another person to engage in prohibited activity.
17. Security Research
We appreciate responsible reporting of legitimate security vulnerabilities.
If you discover a potential security vulnerability, please report it to support@tabpact.com and avoid:
- accessing information that does not belong to you;
- modifying or destroying data;
- disrupting the Service;
- publicly disclosing an unremediated vulnerability; or
- conducting testing that causes material degradation of the Service.
Authorization for security testing must be obtained separately. Nothing in these Terms grants blanket authorization to test Tab Pact systems.
18. User Content
You retain ownership of User Content that you submit.
You grant Tab Pact a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, and otherwise use User Content only as reasonably necessary to:
- provide the Service;
- operate Event features;
- display information to authorized users;
- process user-requested actions;
- protect the Service;
- prevent abuse;
- provide technical support;
- maintain and troubleshoot the Service;
- enforce these Terms; and
- comply with applicable law.
This license does not give Tab Pact ownership of your User Content.
The license ends when the relevant information is deleted from active systems except to the extent that copies remain temporarily in backups, security records, audit records, legal records, or other systems where continued retention is permitted or required.
You represent that you have the rights and permissions necessary to submit your User Content and permit its use as described above.
19. Feedback
If you voluntarily provide ideas, suggestions, product feedback, feature requests, or recommendations concerning Tab Pact, you grant us a perpetual, worldwide, royalty-free right to use and incorporate that feedback without restriction or compensation to you.
This does not give us ownership of unrelated User Content or confidential information.
20. Tab Pact Intellectual Property
Except for User Content and third-party materials, the Service and its software, user interface, design, branding, text, graphics, code, functionality, and other materials are owned by Parker Phillips or applicable licensors and are protected by intellectual-property laws.
Subject to these Terms, Tab Pact grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for its intended purpose.
You may not copy, reproduce, distribute, sell, license, or commercially exploit protected portions of the Service except as expressly authorized or permitted by applicable law.
“Tab Pact,” associated logos, and related branding may not be used in a way that falsely suggests endorsement, sponsorship, or affiliation.
21. Privacy
Our collection, use, disclosure, and protection of personal information is described in the Tab Pact Privacy Policy.
The Privacy Policy is incorporated into these Terms by reference.
By using the Service, you acknowledge that you have reviewed the Privacy Policy.
22. Communications
Tab Pact may send communications necessary to provide or protect the Service, including:
- email confirmation messages;
- authentication messages;
- password-reset messages;
- security notifications;
- administrative notices;
- support communications;
- Event-related notifications; and
- notices concerning material changes to these Terms or the Service.
Where optional product or promotional communications are offered, you may unsubscribe using the method provided in the communication or through available account preferences.
You cannot opt out of communications that are reasonably necessary to maintain your account, fulfill a user-requested action, or protect the security of the Service while continuing to use the affected functionality.
23. Current Cost of the Service
Tab Pact currently provides the Service without charging users an access or subscription fee.
This does not mean that third-party services selected by users are free. External payment providers, banks, telecommunications providers, or other third parties may charge their own fees.
If Tab Pact ever introduces a paid product or feature, applicable pricing and additional terms will be clearly disclosed before a user is charged. These Terms do not authorize Tab Pact to impose undisclosed recurring charges.
24. Third-Party Services
The Service relies on third-party infrastructure and may integrate with or link to third-party websites and services.
Those third parties are not controlled by Tab Pact.
Tab Pact is not responsible for a third party's:
- content;
- availability;
- security practices;
- privacy practices;
- accuracy;
- products;
- services;
- fees; or
- conduct.
Your use of third-party services may be governed by separate agreements between you and the applicable third party.
25. No Professional Advice
Tab Pact provides organizational software.
Nothing provided through the Service constitutes:
- legal advice;
- tax advice;
- accounting advice;
- investment advice;
- credit advice;
- financial planning;
- debt-collection advice; or
- other regulated professional advice.
You are responsible for obtaining professional advice where appropriate.
26. Service Availability
We work to maintain a reliable Service, but we do not guarantee that Tab Pact will be available without interruption.
The Service may become unavailable because of:
- planned maintenance;
- emergency maintenance;
- software defects;
- infrastructure failures;
- third-party provider outages;
- internet outages;
- cyberattacks;
- security incidents;
- capacity constraints;
- changes required by law; or
- events outside our reasonable control.
Tab Pact does not guarantee any particular uptime percentage unless we expressly agree to such a guarantee in a separate written agreement.
27. Changes to the Service
We may add, modify, restrict, replace, or discontinue features of the Service.
We may make changes to improve:
- security;
- reliability;
- user experience;
- performance;
- legal compliance; or
- product functionality.
We will use reasonable efforts to provide notice if we discontinue the Service entirely or make a change that materially affects users' rights, where notice is appropriate or legally required.
28. Account Suspension and Termination
We may restrict, suspend, or terminate access if we reasonably believe:
- you violated these Terms;
- your activity is fraudulent;
- your account has been compromised;
- your use creates a material security risk;
- your use threatens another person;
- your use exposes Tab Pact to legal liability;
- continued access would harm the Service or other users;
- we are legally required to restrict access; or
- the relevant functionality has been discontinued.
Where practical and appropriate, we may provide notice or an opportunity to correct the issue.
You may stop using Tab Pact at any time.
You may delete your Organizer account through Settings → Account & security, or request assistance at support@tabpact.com if the self-service flow is unavailable. Deletion is subject to narrow information we are permitted or required to retain, as described in the Privacy Policy.
29. Effect of Termination
Deleting an Organizer account permanently removes Events owned by that Organizer and disables their invitation and Participant access. A Participant record associated with the same verified email in another Organizer's Event may be anonymized while non-identifying shared Expense and payment-status history remains available to that other Organizer.
You are responsible for preserving any information you reasonably need before deleting your account.
Sections that by their nature should survive termination will remain effective, including provisions addressing:
- intellectual property;
- disputes;
- warranty disclaimers;
- limitation of liability;
- indemnification;
- governing law; and
- other accrued rights and obligations.
30. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TAB PACT AND THE SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TAB PACT DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- TITLE;
- NON-INFRINGEMENT;
- ACCURACY; AND
- QUIET ENJOYMENT.
WITHOUT LIMITING THE FOREGOING, TAB PACT DOES NOT WARRANT THAT:
- THE SERVICE WILL ALWAYS BE AVAILABLE;
- THE SERVICE WILL BE ERROR-FREE;
- CALCULATIONS WILL ALWAYS BE CORRECT;
- DATA WILL NEVER BE LOST;
- SECURITY CONTROLS WILL NEVER BE DEFEATED;
- USER-SUPPLIED INFORMATION WILL BE ACCURATE;
- AN ORGANIZER OR PARTICIPANT WILL ACT HONESTLY;
- A PARTICIPANT WILL PAY AN AMOUNT REQUESTED;
- AN ORGANIZER WILL PROPERLY CREDIT A PAYMENT;
- AN EXTERNAL PAYMENT WILL SUCCEED;
- THIRD-PARTY SERVICES WILL REMAIN AVAILABLE; OR
- THE SERVICE WILL SATISFY EVERY USER'S REQUIREMENTS.
Nothing in these Terms excludes a warranty or right that applicable law does not permit us to exclude.
31. Assumption of Risk
You understand that coordinating payments among individuals inherently involves risks that software cannot eliminate.
Those risks may include:
- dishonest users;
- mistaken payment instructions;
- unauthorized invite sharing;
- disputes about amounts;
- canceled Events;
- payments sent to the wrong person;
- payment-provider fraud;
- account compromise; and
- disagreement about whether payment was made.
You are responsible for exercising reasonable judgment before sending money or acting on information supplied by another user.
32. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARKER PHILLIPS, TAB PACT, AND ANY AFFILIATED CONTRACTORS, AGENTS, LICENSORS, OR SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAB PACT WILL NOT BE LIABLE FOR LOSS ARISING FROM:
- A DISPUTE BETWEEN USERS;
- A USER'S FAILURE TO PAY;
- AN ORGANIZER'S FAILURE TO CREDIT OR REFUND A PAYMENT;
- PAYMENT TO AN INCORRECT PERSON;
- FRAUD COMMITTED BY A USER;
- FALSE OR INACCURATE USER CONTENT;
- A COMPROMISED INVITATION;
- UNAUTHORIZED SHARING OF AN INVITE LINK;
- THIRD-PARTY PAYMENT SERVICES;
- BANK OR PAYMENT-PROVIDER ACTIONS;
- AN EVENT BEING CANCELED OR CHANGED;
- THE QUALITY OR FAILURE OF GOODS OR SERVICES ASSOCIATED WITH AN EVENT; OR
- ACTIONS OCCURRING OUTSIDE TAB PACT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAB PACT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
The foregoing limitations apply regardless of the legal theory asserted and even if Tab Pact has been advised of the possibility of damages.
These limitations do not apply to liability that cannot lawfully be limited, including liability to the extent caused by fraud, willful misconduct, or other conduct for which applicable law prohibits limitation.
Some jurisdictions do not permit certain exclusions or limitations. In those jurisdictions, these provisions apply only to the maximum extent permitted by law.
33. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Parker Phillips, Tab Pact, and their contractors, agents, licensors, and service providers from claims, liabilities, damages, judgments, losses, costs, and reasonable legal expenses arising out of or relating to:
- your material violation of these Terms;
- your unlawful use of the Service;
- your User Content;
- information you provide about another person without authorization;
- your Event;
- your payment instructions;
- your infringement of another person's rights;
- fraud or intentional misconduct committed through your account; or
- your violation of applicable law.
You are not required to indemnify Tab Pact for Tab Pact's own conduct to the extent applicable law prohibits such indemnification.
Tab Pact reserves the right to assume control of the defense of a matter subject to indemnification, in which case you agree to reasonably cooperate.
34. Informal Dispute Resolution
Before filing a lawsuit or commencing arbitration against the other party, you and Tab Pact agree to attempt in good faith to resolve the dispute informally.
A party initiating a dispute must send written notice describing:
- the person's name and contact information;
- the relevant Tab Pact account email, if applicable;
- the nature and factual basis of the dispute; and
- the relief requested.
Notices to Tab Pact must be sent to support@tabpact.com with the subject line “Legal Dispute Notice.”
The parties will have at least 30 days after receipt of a complete notice to attempt to resolve the dispute before commencing arbitration or litigation, unless immediate relief is reasonably necessary to prevent irreparable harm or the applicable limitations period would expire.
35. Binding Individual Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except for disputes that qualify for small-claims court and disputes for which applicable law prohibits arbitration, you and Tab Pact agree that disputes arising out of or relating to these Terms or the Service will be resolved through binding individual arbitration rather than in court.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement to the extent applicable.
Arbitration will be administered by the American Arbitration Association (“AAA”) under the AAA Consumer Arbitration Rules then in effect, as modified by these Terms.
The arbitrator may award the same individual remedies that a court could award where permitted by law.
The arbitrator will have authority to determine issues concerning the scope, enforceability, or applicability of this arbitration agreement, except that a court of competent jurisdiction will determine issues concerning the enforceability of the class-action waiver below where required by law.
Unless the parties agree otherwise, arbitration may occur by telephone, videoconference, document submission, or at a reasonably convenient location consistent with applicable AAA rules.
Nothing in this section prevents either party from seeking temporary or preliminary injunctive relief from a court where necessary to prevent immediate and irreparable harm pending arbitration.
36. Small-Claims Court
Either party may bring an individual claim in a small-claims court of competent jurisdiction if the claim qualifies and remains solely on an individual basis.
37. Arbitration Opt-Out
You may opt out of the arbitration agreement in Section 35 by sending an email to support@tabpact.com within 30 days after the date you first become bound by these Terms.
Your opt-out notice must:
- state that you are opting out of the Tab Pact arbitration agreement;
- include your full name;
- include the email associated with your Tab Pact account, if applicable; and
- be sent by you personally.
Opting out of arbitration will not affect any other provision of these Terms or your ability to use the Service.
38. Class-Action and Jury-Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND TAB PACT AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Unless both parties agree otherwise, an arbitrator may not consolidate the claims of more than one person and may not preside over a representative or class proceeding.
TO THE EXTENT A DISPUTE PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND TAB PACT EACH WAIVE THE RIGHT TO A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW.
If applicable law prevents enforcement of a particular portion of this Section, that portion will be severed or limited to the minimum extent necessary while the remainder remains effective.
39. Governing Law
Except to the extent federal law or another mandatory law controls, these Terms and disputes arising from them are governed by the laws of the State of Washington, without regard to its conflict-of-law principles.
For disputes that are not subject to arbitration and are not brought in small-claims court, you and Tab Pact consent to the personal jurisdiction of the applicable state and federal courts located in Washington State, subject to any venue rights that cannot lawfully be waived.
40. Time Limit for Claims
To the maximum extent permitted by applicable law, any claim arising out of or relating to the Service or these Terms must be brought within one year after the claim first accrued.
If applicable law does not permit this contractual period to apply to a particular claim, the legally required limitations period will apply instead.
41. Changes to These Terms
We may revise these Terms from time to time.
If we make a material change, we will provide reasonable notice through the Service, by email, by updating the notice displayed on the website, or through another appropriate method.
The updated Terms will identify a new “Last Updated” date.
Where applicable law requires affirmative consent to a change, the change will not become binding on you until such consent is obtained.
For other changes, continued use of the Service after the effective date of the revised Terms constitutes acceptance to the extent permitted by law.
42. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
We may assign these Terms in connection with:
- formation of a legal entity to operate Tab Pact;
- a merger;
- acquisition;
- restructuring;
- sale of substantially all assets associated with Tab Pact; or
- another lawful transfer of the Service.
For clarity, if Tab Pact is later operated by a corporation, limited liability company, or other entity formed or controlled by Parker Phillips, these Terms may be assigned to that entity, subject to applicable law and appropriate notice.
43. Severability
If any provision of these Terms is found unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted or severed where necessary.
The remaining provisions will remain in effect.
Any specific severability rule contained within the arbitration provisions controls over this general severability section with respect to arbitration.
44. No Waiver
Failure to enforce a provision of these Terms does not waive the right to enforce it later.
A waiver is effective only if made expressly by the party granting it.
45. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms expressly presented for a specific feature, constitute the entire agreement between you and Tab Pact concerning the Service and supersede prior agreements or representations concerning the same subject matter.
46. Headings
Section headings are provided for convenience and do not affect interpretation of these Terms.
47. Electronic Communications
You agree that agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law.
